Starting a company in El Salvador from abroad: what to prepare
A practical sequence for shareholders, tax identification, signatures and documents before registration, with banking and operational preparation in view.
An investor organising a company from another country needs to know which decisions can be made in advance, who must sign and which documents must reach El Salvador. Resolving these dependencies before filing helps build a realistic timetable.
The first deliverable should be a map of the file: the people involved, missing documents, responsible advisers and steps that depend on earlier actions. Registration is one milestone in that preparation.
Define the activity and form of presence
Describe what the company will do, who will contract with customers, where the team will be based and how funds will arrive. These facts guide the structure, permits and representation arrangements. Ease of registration should be one consideration within that assessment.

Identify shareholders and tax numbers early
The CNR’s service catalogue describes formation involving Salvadoran or foreign participants and states that foreign individuals and legal entities must have a NIT. The filing uses a deed or form depending on the company type.Company formation — Commercial Registry, CNR.
List each participant and distinguish individuals from companies. Identify who will supply their documents and who may make decisions or sign. Keep a shareholder’s tax identifier separate from the identifiers required for the new Salvadoran company.

Clarify signing and representation
For a simplified joint stock company, or SAS, the CNR permits a single individual or legal-entity shareholder and provides for certified electronic signatures. Its handwritten-signature route involves original documentation and notarised signatures where shareholders do not attend personally. Do not assume that a scanned signature or a familiar electronic signing tool meets the certified-signature requirement. If an attorney-in-fact will act, define the relevant actions and powers. Compare that authority with the intended tax, registry and banking procedures so each recipient can verify the signatory’s capacity.
Prepare documents issued abroad
Before ordering certificates or executing powers of attorney, agree a document list: issuer, signatory, intended recipient, language and applicable formalities. Check consistency in personal names, company names and identification details across the file.

Coordinate registration, banking and operations
CreaEmpresa integrates procedures including incorporation, commercial registration, the opening balance sheet, NIT and NRC, alongside steps involving social security, the Labour Ministry and specified municipalities. The bank evaluates its own file. Promerica, for example, distinguishes documentation for legal entities and SAS companies, including registration, tax identification and representation. If an investor will work or reside in El Salvador, assess the appropriate immigration category as well. The migration authority publishes separate routes for shareholders, investors, business activities and employment. A checklist before filing
The initial review should produce verifiable answers to these questions:
- Are the activity, shareholders and structure defined?
- Which tax identifiers and identity or existence documents are missing?
- Who will sign, and how will that authority be evidenced?
- Which originals, authentication steps or translations are needed?
- What does the bank require, and which approvals precede operations?
Build the timetable around dependencies
Assign each outstanding item to a person and separate preparation, filing, review and approval. The time required for a registry filing is not the full time needed to begin operations.
